A plaintiff must allege that:
- defendant owed a fiduciary duty to the plaintiff;
 - defendant concealed a fact;
 - the concealment was intentional in order to defraud or mislead the plaintiff;
 - the plaintiff reasonably relied on the misrepresentation; and
 - the plaintiff suffered damage as a result of its reliance on the defendant.
